NQ Minerals Notice of General Meeting
September 1, 2016 – NQ Minerals (the “Company”) (ISDX: NQMI) is pleased to announce that it has today sent a notice to its shareholders convening a general meeting to be held at 10 am on Monday 19 September 2016 at the offices of DAC Beachcroft, 100 Fetter Lane EC4A 1BN (the “General Meeting”).
Following an allotment of 1,350,000 Ordinary shares on 25 August 2016 the Company has authority to allot 809,091 equity securities (as defined in section 560 of the Companies Act 2006) under an existing authority. Accordingly, the directors of the Company (the “Directors”) are seeking the approval of the Company’s shareholders (the “Shareholders”) at the General Meeting to ensure that they have sufficient authority to allot certain equity securities on a non pre-emptive basis for general working capital purposes.
The Company is therefore seeking shareholders’ approval by way of the following proposed ordinary resolution and special resolution at the General Meeting:
(i) Resolution 1, which will be proposed as an ordinary resolution is to authorise the Directors to allot equity securities up to an aggregate nominal amount of £40,000 provided that such authority shall expire on the date being 15 months from the date of the passing of the resolution or, if earlier, the conclusion of the next annual general meeting of the Company; and
(ii) Resolution 2, which will be proposed as a special resolution and which is conditional upon the passing of Resolution 1, dis-applies Shareholders’ statutory pre-emption rights (which require a company to offer new shares for cash first to existing shareholders in proportion to their holdings) in relation to the allotment of equity securities for cash on a non-pre-emptive basis up to an aggregate nominal amount of £40,000, provided that such authority shall expire on the date being 15 months from the date of the passing of the resolution or, if earlier, the conclusion of the next annual general meeting of the Company.
